Style Capital Acquires Alessandro Dell’Acqua’s N°21

The Investment Firm Backs the Italian Label’s International Expansion as Longtime Partner Gilmar Exits the Business

Style Capital has acquired N°21, the Milan-based fashion label founded by Alessandro Dell’Acqua, marking a new chapter for the independent Italian brand as its longtime industrial partner Gilmar exits the business. Dell’Acqua will remain Creative Director, retaining responsibility for the creative identity he has developed since launching the label in 2010.

The transaction brings N°21 into the portfolio of the Italian investment firm led by founder and Managing Partner Roberta Benaglia, whose fashion investments include MSGM, Zimmermann, Soeur and Autry. Financial terms were not disclosed, and Style Capital described the acquisition as a complex corporate transaction. The firm intends to support N°21’s international expansion through additional strategic, managerial and industrial resources.

“I am delighted that N°21 is embarking on this new phase with Style Capital and Roberta Benaglia, an entrepreneur who has a deep understanding of the fashion industry and shares my belief in the importance of combining creative vision with business development,” Dell’Acqua said in a statement. “I believe this move represents a significant opportunity for N°21’s growth, whilst preserving its character and strengthening its future prospects.”

The acquisition arrives at an important moment for the label, which has built a distinctive position within contemporary Italian fashion through Dell’Acqua’s combination of feminine sensuality, precise tailoring and an often unconventional approach to familiar wardrobe pieces. Named after the designer’s birthday, N°21 has developed an international wholesale business and is currently stocked in more than 250 multibrand stores worldwide.

For Style Capital, the opportunity lies in expanding that established identity without diluting the creative approach that distinguishes the brand. Benaglia has built the firm’s investment strategy around fashion businesses with recognizable design perspectives and opportunities for further international development.

“N°21 represents one of the most authentic and recognisable expressions of contemporary Italian creativity,” Benaglia said. She credited Dell’Acqua with establishing a distinctive and personal design language, adding that Style Capital intends to preserve his creative autonomy while providing the business expertise necessary to support its next phase of growth.

The deal also marks the end of a significant industrial partnership. Gilmar, the Italian manufacturer behind Iceberg, acquired a 30 percent stake in N°21 in 2015 and has supported the label’s development for more than a decade. Its departure comes amid mounting financial difficulties for the company, which is based in San Giovanni in Marignano, near Rimini.

Gilmar Divisione Industria, which has manufactured and distributed collections for Iceberg, N°21 and Paolo Pecora, applied for a negotiated settlement of its financial difficulties in October. The company reported liabilities of €37.2 million as of July 31, 2026, with obligations to more than 800 business partners in Italy and internationally. A hearing is scheduled for November 24.

The difficulties extend beyond Gilmar. Other established manufacturers in the Rimini fashion district, including Aeffe and Fuzzi, are also facing financial pressure, highlighting the challenges confronting Italy’s network of independent fashion producers. Gilmar employs approximately 256 people directly and supports a network of around 160 workshops and smaller businesses, making its restructuring significant for the surrounding manufacturing community.

For N°21, the change in ownership offers an opportunity to establish a new industrial and commercial structure at a time when independent fashion labels face increasing pressure to balance creative independence with the financial resources required for international growth. The brand did not present a runway show during the September 2026 Milan Fashion Week season, adding to the significance of its next steps.

Dell’Acqua brings considerable experience to this transition. Before founding N°21, he established his namesake label and subsequently held creative positions at Rochas and Brioni. His work has consistently explored the relationship between established Italian craftsmanship and a more personal, contemporary expression of fashion.

Style Capital, meanwhile, continues to expand its investments across fashion and lifestyle. Alongside its existing portfolio, the firm recently entered the beauty sector through a minority investment in French fragrance brand Essential Parfums.

The acquisition gives N°21 a new financial partner while keeping its founder firmly in creative control. For Dell’Acqua, whose label has spent more than fifteen years establishing its place in the international fashion market, the next chapter will be defined by how successfully that creative identity can translate into a broader business.
